Terms and Conditions

By engaging the services of Sunray Digital Services (“Service Provider,” “Sunray,” “we,” “our,” or “us”) and/or accessing www.sunraydigitalservice.com (the “Website”), you (“Client,” “you,” or “your”) agree to the following Terms and Conditions.

 

These terms apply to all services, projects, campaigns, products, and use of the Website, as specified in any proposal, invoice, service order, or written agreement.

1. SCOPE OF SERVICES

Sunray Digital Services provides professional digital and marketing solutions, including but not limited to:

• Website design, development, and maintenance

• Website hosting setup and configuration through third-party platforms

• Google Ads campaign creation and management

• Facebook & Instagram Ads campaign creation and management

• Search Engine Optimization (SEO) services

• Graphic design and branding

• Content creation and marketing materials

• Google Business Profile setup and optimization

• Organic and paid social media services

• Digital marketing consulting and strategy

• Printing services

• Digital business cards (eCards)

Only services expressly listed in a written agreement, proposal, or invoice are included.

2. USE OF THIRD-PARTY PLATFORMS & PROVIDERS

The Client acknowledges that Sunray Digital Services relies on third-party platforms and providers such as Wix, accessiBe, Google, Meta (Facebook/Instagram) and independent collaborators.

Sunray Digital Services does not own, operate, or control these platforms and is not responsible for their performance, availability, pricing, outages, suspensions, or policy changes. All third-party services are subject to their own terms and conditions.

3. AUTHORIZATION & ACCOUNT ACCESS

The Client authorizes Sunray Digital Services to access and configure third-party accounts solely for service execution.

 

All third-party accounts remain the Client’s responsibility, including billing, renewals, compliance, and account standing.

4. WEBSITE SERVICES & HOSTING

Website hosting, domains, CMS platforms, and plugins are provided by third parties. Sunray acts only as a facilitator when required. Sunray Digital Services is not responsible for downtime, hosting errors, billing failures, or platform-related issues.

ADVERTISING POLICY (ADS POLICY)

5. DIGITAL ADVERTISING SERVICES

Sunray Digital Services provides advertising services through platforms such as Google Ads, Facebook Ads, and Instagram Ads.

​

The Client understands and agrees that:

• No guarantees are made regarding sales, leads, conversions, traffic, rankings, or revenue

• Advertising results depend on external factors including budget, competition, algorithms, market demand, and product/service quality

• Advertising platforms reserve full discretion to approve, reject, pause, or disable ads or accounts

6. ADVERTISING CONTENT RESPONSIBILITY

The Client is solely responsible for:

• The legality, accuracy, and truthfulness of ad content

• Claims, offers, pricing, products, and services promoted

• Compliance with all applicable laws and advertising platform policies

Sunray Digital Services is not responsible for rejected ads, account suspensions, or policy violations caused by the Client’s content or business practices.

7. ADVERTISING BUDGETS

Advertising budgets are not included in Sunray’s service fees unless explicitly stated in writing. All ad spend is paid directly by the Client to the advertising platform.

REFUND POLICY

8. PAYMENTS & NON-REFUNDABLE SERVICES

• All services are invoiced separately

• Payments are required in advance unless otherwise agreed in writing

• All payments are non-refundable once services have commenced, including but not limited to strategy, setup, design, campaign creation, or consulting

9. TERMINATION & PARTIAL SERVICES

If services are terminated by the Client:

• The Client remains responsible for payment of all work completed up to the termination date

• No refunds will be issued for completed or partially completed services

• Unused advertising budgets paid directly to platforms are subject to the platform’s refund policies, not Sunray’s

ACCESSIBILITY POLICY

10. WEB ACCESSIBILITY & ADA COMPLIANCE

Web accessibility services, including ADA or WCAG compliance, are not included by default and must be contracted separately.

​

When accessibility tools (such as accessiBe) are implemented:

• They are third-party software solutions

• Sunray Digital Services does not guarantee full legal compliance

• The Client remains solely responsible for accessibility compliance under federal, state, and local laws

Sunray Digital Services is not liable for accessibility-related claims, audits, lawsuits, penalties, or regulatory actions.

11. CLIENT RESPONSIBILITIES & COMMUNICATION

The Client agrees to provide timely feedback, approvals, and accurate information. Delays caused by lack of communication or incomplete information are the Client’s responsibility.

12. PROJECT DELAYS & CLIENT INACTIVITY

If the Client fails to provide feedback or approvals within thirty (30) business days, the project will be deemed completed based on the most recent approved version. Additional requests will be treated as new services.

13. INTELLECTUAL PROPERTY

Upon full payment, ownership of final deliverables transfers to the Client. Sunray Digital Services and its collaborators retain ownership of proprietary systems, templates, methods, and internal tools.

Sunray may display completed work in portfolios and marketing materials unless otherwise requested in writing.

14. LIMITATION OF LIABILITY & INDEMNIFICATION

Sunray Digital Services is not liable for indirect, incidental, or consequential damages, including loss of revenue, profits, or data.

​

The Client agrees to indemnify and hold harmless Sunray Digital Services, its partners, contractors, and collaborators from any claims or legal actions arising from the Client’s business, content, or use of services.

15. PRIVACY POLICY

Use of the Website and services is governed by Sunray Digital Services’ Privacy Policy.

16. GOVERNING LAW

These Terms and Conditions are governed by the laws of the State of California, United States.

17. ACCEPTANCE OF TERMS

By accessing the Website, submitting payment, or engaging Sunray Digital Services, the Client confirms acceptance of these Terms and Conditions, which constitute a legally binding agreement.
